Terms of Service
Welcome to Blackbook ("blackbook.black"), operated by Blackbook Inc. ("Blackbook", "we", "us", or "our"). By accessing our website, submitting a campaign brief, applying for verification, or engaging in media buyer placements, you ("User", "Client", or "Media Buyer") agree to be bound by these Terms of Service ("Terms").
1. The Matching & Alignment Framework
Blackbook Inc. operates a private performance matching network connecting verified media buying operators with brands in specialized verticals (iGaming, Crypto, Blockchain, Fintech, and Sports Betting). We provide gap audits, proof-of-spend verification, and direct private deal room setups.
- Customized Campaign Standards: Placements and milestones are agreed on a tailored brief-by-brief basis between the Client and Blackbook Inc.
- Alignment & Milestone Criteria: Key evaluation parameters may include (i) Operator cultural and communication fit, (ii) technical readiness (tracker integration, cloaking/PWA rails), (iii) timely campaign launch execution, and (iv) achieving agreed KPI benchmarks (CPA, FTD cost, or ROAS).
- Trial & Re-allocation Protection: During the initial trial window, if agreed launch milestones or performance parameters are not met pursuant to the campaign brief, Blackbook Inc. coordinates operator re-allocation or bespoke milestone adjustments.
- Performance Alignment: Compensation models are structured per agreed brief (performance fee on ad spend, milestone-based, or ROAS share).
2. Verification & Proof-of-Spend Requirements
Media buyers applying to enter the private ledger undergo mandatory verification:
- Audit turnaround: Submitted proof-of-spend credentials and track records are audited by the Verification Desk within 24–48 hours.
- Applicants must demonstrate verifiable past ad spend history ($50k+ managed budget floor) via authenticated account review.
- Submitting fraudulent screenshots, falsified records, or third-party case studies results in an immediate permanent ban.
3. Confidentiality & Non-Circumvention
Both Clients and Media Buyers agree to maintain strict confidentiality regarding campaign data, ad account structures, payout rails, and internal strategy discussed within Blackbook desks:
- Clients agree not to bypass Blackbook to directly employ matched media buyers outside the platform without prior written agreement.
- Media buyers agree not to disclose proprietary client creative assets, landing pages, or conversion data.
4. Escrow & Infrastructure Fees
Where applicable, campaign budget escrow and infrastructure rails (agency ad accounts, PWA setups) are managed under separate escrow guidelines. Infrastructure fees (5%–10%) apply when utilizing proprietary account rails provided by Blackbook.
5. Limitation of Liability
Blackbook provides verification and matching services on a performance basis. While we verify past spend and campaign depth, media buying inherently carries market risk. Blackbook is not liable for indirect, incidental, or consequential ad account suspensions caused by third-party ad platform policy changes (Meta, Google, TikTok, X).
6. Termination
Either party may terminate engagement upon notice subject to ongoing trial terms and escrow settlements. We reserve the right to suspend or remove any entry or client desk from the record for policy violations or non-payment.
7. Modifications to Terms
We reserve the right to update these Terms of Service at any time. Continued use of the platform following updates constitutes acceptance of revised terms.
